3. Account Registration

5. Subscription and Payments

Certain features require a paid subscription. You agree that:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or stated in our refund policy
• You authorize us to charge your payment method for all fees
• Subscriptions automatically renew unless cancelled before the renewal date
• Price changes will be communicated at least 30 days in advance
• You are responsible for all applicable taxes

6. Intellectual Property

The Service and its original content, features, and functionality are owned by NTS QRCode and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the content you create using the Service. By using the Service, you grant us a limited license to use, store, and display your content as necessary to provide the Service.

QR codes generated through our Service may be used freely for personal or commercial purposes. However, the underlying software, templates, and platform design remain our intellectual property.

7. Data Usage and Analytics

We collect and analyze scan data for QR codes created through the Service. This includes:

• Scan counts and timestamps
• Geographic location data
• Device and browser information
• Referrer information

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may:

• Perform scheduled maintenance with advance notice
• Temporarily suspend Service for emergency maintenance
• Modify or discontinue features with reasonable notice
• Impose usage limits or restrictions as necessary

We are not liable for any downtime, service interruptions, or data loss.

9. Termination

You may cancel your account at any time from your account settings. Upon cancellation:

• Your subscription will remain active until the end of the billing period
• No refunds will be issued for partial billing periods
• Your QR codes will continue to function until subscription expires
• Your data may be deleted after 30 days unless otherwise required by law

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. In case of termination for cause, no refunds will be provided.

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

NTS QRCODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless NTS QRCode, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree to waive your right to a jury trial or to participate in a class action lawsuit. The arbitration shall take place in San Francisco, California, and shall be governed by California law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
